1. Acceptance of Terms

By accessing or using the website and services of MiColor Group LLC, operating as MiPalette, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, creators, and customers of the platform.

2. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep your account information updated.

3. Creator Terms

Palette Creation: Creators retain intellectual property rights to their original palette designs, color selections, and branding. MiPalette is granted a non-exclusive license to display, promote, and facilitate the sale of your palettes on our platform.

Distribution Links: All sales of MiPalette-produced palettes, whether on our platform or external channels, must be conducted through our official affiliate distribution links. This ensures accurate tracking, inventory management, and proper revenue attribution.

Quality Standards: All palettes must meet our quality and safety standards. We reserve the right to reject or remove palettes that do not comply with applicable cosmetic regulations or our community guidelines.

Revenue Share: Creators earn commissions on all sales as outlined in the Creator Agreement. Payment schedules and commission rates are detailed in your creator dashboard.

4. Community Voting Terms

Campaign Rules: Community voting campaigns must accurately represent the proposed product. Creators must fulfill their campaign promises if the funding goal is met.

Refund Policy: If a community voting campaign does not reach its goal, all supporters will receive a full refund. Once a campaign is successfully funded, refunds are subject to our standard refund policy.

Production Timeline: MiPalette will make reasonable efforts to meet stated production timelines. Delays may occur due to manufacturing, quality control, or supply chain factors. Supporters will be notified of any significant delays.

5. Purchases & Payments

All purchases are processed securely through Stripe. Prices are displayed in USD unless otherwise specified. We reserve the right to modify prices at any time. Applicable taxes and shipping fees will be calculated at checkout.

Refunds: Customers may request a refund within 30 days of receiving their order if the product is defective or significantly different from the description. Custom-designed palettes may have different refund terms as specified at the time of purchase.

6. Subscription & Membership Benefits

MiPalette offers subscription plans that provide membership benefits and additional features. Benefits are non-transferable and expire according to the terms of your subscription plan. Subscription renewals are automatic unless cancelled before the renewal date.

7. Intellectual Property

The MiPalette platform, including its design, features, and content, is protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our platform without written permission. User-generated content (palette designs, reviews, community posts) remains the property of the respective creators.

8. Community Guidelines

Users of our community features agree to:

Treat all members with respect and professionalism
Not post offensive, misleading, or spam content
Not infringe on others' intellectual property
Not engage in harassment, discrimination, or bullying
Report violations to our moderation team

We reserve the right to remove content and suspend accounts that violate these guidelines.

9. Limitation of Liability

MiPalette is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

10. Termination

We may terminate or suspend your account at any time for violations of these terms. You may delete your account at any time through your account settings. Upon termination, your right to use the platform ceases immediately, but certain provisions (intellectual property, limitation of liability) survive termination.

11. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the platform after changes constitutes acceptance of the new terms.

12. Governing Law

These terms are governed by the laws of the State of Wyoming, United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by applicable law.
